Demo Evaluation and Confidentiality Agreement

This agreement is presented before access to KAI's interactive demonstrations. Viewing this page alone does not record acceptance.

Who this agreement is with

This agreement is between Kanawha AI L.L.C. (KAI) and the individual accepting it. If you are accepting for a company, you confirm that you have authority to bind that company. Access is offered in exchange for these evaluation and confidentiality commitments.

Permission to evaluate

KAI grants a limited, revocable, nontransferable right to view the demonstration solely to evaluate KAI software or services for your own or your company’s internal business needs. Access does not transfer ownership or grant a development, resale, redistribution, or commercial exploitation license. Do not share access or permit another person to use your session.

Recording and redistribution

Without KAI’s prior written permission, do not screenshot, photograph, screen-record, download, copy, publish, transmit, sell, or distribute demonstration materials, code, documents, or recordings. Do not scrape or extract the materials, or send them to another person, service, or AI tool to copy or reproduce the demonstration. Approved materials may be shared only within the scope of KAI’s written permission.

Replicas and protected materials

Do not use KAI’s protected demonstration materials or confidential information to reproduce the software, build a replica, or help another person do so. This restriction does not claim ownership of general ideas, standard functionality, or independently developed work, and does not override rights that cannot lawfully be restricted or applicable third-party license rights.

Confidentiality and exceptions

Keep nonpublic demonstration materials confidential and use them only for the permitted evaluation. Confidential information excludes information you can establish was already lawfully known to you, becomes public without your breach, is lawfully obtained from a third party without a confidentiality duty, or is independently developed without using KAI’s confidential materials. Disclosures required by law and other legally protected disclosures are not prohibited; where lawful, give KAI reasonable notice and limit disclosure to what is required.

Fictional records and evaluation limits

Demonstration records are fictional and integrations are simulated. The demonstration is provided for evaluation as available, without a promise that a particular result, integration, regulatory status, or production capability will be delivered. Any implementation, fees, service scope, security requirements, and support commitments require a separate agreement. Nothing excludes liability or rights that applicable law does not permit the parties to exclude.

Access and continuing obligations

KAI may suspend or end access. Stop using the demonstration when access ends or on KAI’s request, and delete unauthorized copies, except records required by law. Confidentiality obligations continue for as long as information remains confidential under this agreement; trade secrets remain protected while they qualify under applicable law. Ending access does not excuse an earlier breach or extinguish restrictions on unauthorized retained copies.

Available remedies

If these terms are breached, KAI may seek remedies available under applicable law, including damages and appropriate court orders. No automatic fine, predetermined damages amount, automatic charge, or guaranteed injunction is created by this agreement. Enforceability, liability, and any award are subject to applicable law and the relevant court’s decision.

Acceptance record and contact

KAI records the name, company and work email you provide, a randomly assigned evaluation identifier, the agreement version and document hash, and the acceptance time. When available, KAI also records the network IP address reported by its hosting provider at acceptance, together with its source, to help investigate misuse and document access. An IP address may represent a VPN, proxy or shared connection and does not establish an individual’s identity or precise location. It is not displayed publicly or included in the watermark. No account or sign-in is required. Your email and short evaluation reference may appear as a watermark. Access is linked to a necessary browser cookie and lasts up to eight hours; ending access revokes that session. Contact details and company authority are self-reported and are not independently verified by this form. KAI uses these records to manage access, establish acceptance, investigate misuse, and handle legal claims. Acceptance records, including any recorded IP address, are ordinarily retained for up to four years after acceptance, with longer retention only where needed for an active dispute or legal obligation. Contact cassidy@cktt-llc.com for permissions, privacy requests, or a full demonstration.
